A1 Resin Ltd – Terms & Conditions of Sale
1. Definitions
“A1”, “we”, “us”, “our” refers to A1 Resin Ltd.
“The Customer”, “you” refers to the person or organisation purchasing services.
“Works” means all labour, materials, and services provided by A1.
2. Formation of Contract
- A contract is formed once:
- A quotation is accepted (verbally or in writing), and
- A deposit is paid, or
- Materials are ordered, or
- Works commence.
- By proceeding, you agree to these Terms & Conditions in full.
- These Terms override any other terms unless agreed in writing by A1.
3. Quotations
- Quotations are valid for 14 days unless otherwise agreed in writing.
- Prices may be withdrawn or amended after this period.
- Quotations are based on visible site conditions; hidden issues may result in additional costs.
- Any amendments must be agreed in writing.
4. Scope of Works & Variations
- Works will be carried out as per the agreed quotation.
- Any additional works, changes, or unforeseen requirements will:
- Be quoted separately, and
- Require written approval before proceeding.
- Instructing operatives directly without office approval is a breach of contract.
5. Payment Terms
- Payment structure will be outlined in your quotation.
- Deposits are strictly non-refundable.
- Final balance is due within 7 days of completion.
- Late payments may result in:
- Suspension of guarantees
- Interest charges (statutory or agreed rate)
- Debt recovery action
- A1 retains ownership of all materials until full payment is received.
6. Customer Responsibilities
You agree to:
- Provide clear access to the site at all times
- Remove vehicles, obstacles, and personal items
- Inform us of all underground services (water, gas, electric, drainage, data cables)
- Ensure permissions (planning, access, shared drives) are in place
Failure to comply may result in:
- Delays
- Additional charges
- Suspension or termination of works
7. Ground Conditions & Existing Surfaces
- All works are quoted based on visible conditions only
- A1 is not liable for:
- Unknown ground conditions
- Sub-base failures not installed by us
- Pre-existing structural issues
- Any remedial works required will be chargeable.
8. Resin Bound Specific Terms
8.1 Overlays
- Overlays are installed on existing surfaces at the Customer’s risk
- No guarantee is provided on overlays
- Issues may include:
- Cracking
- Delamination
- Weed growth
- Discolouration
A new compliant base is always recommended for full guarantee and SUDS compliance.
8.2 Shrinkage & Movement
- Resin surfaces may expand/contract with temperature.
- Minor shrinkage from edges or trims is normal and not a defect.
8.3 Cracking Around Edges/Trims
- The introduction of aluminium trims may create minor hairline cracking due to rigidity differences.
- This is a known industry characteristic.
- A1 will repair where appropriate but does not guarantee prevention.
8.4 Rust Spotting (Oxidation)
- Natural aggregates may contain trace iron.
- Exposure to moisture can cause rust spotting.
- This:
- Is a natural process
- Does not affect structural integrity
- Is not covered by guarantee
Specialist cleaning or resealing can be arranged at additional cost.
8.5 Colour & Finish
- Natural aggregates vary in:
- Colour
- Shade
- Texture
- Samples and images are indicative only.
9. Guarantees & Warranties
- Guarantees apply only where:
- Full specification installation is completed by A1
- Payments are made in full and on time
- Guarantees do not cover:
- Fair wear and tear
- Lack of maintenance
- Third-party damage
- Acts of nature
- Issues arising from overlays or existing bases
- Manufacturer warranties apply to materials only.
- Labour for replacement under manufacturer warranty is chargeable.
10. Maintenance
- All surfaces require ongoing maintenance
- The Customer is responsible for:
- Cleaning
- Weed control
- General upkeep
- Lack of maintenance may void guarantees.
11. Programme & Delays
- Timescales are estimates only.
- Delays may occur due to:
- Weather (especially resin installation)
- Material shortages
- Site conditions beyond our control
- A1 is not liable for delays outside of its control
12. Risk & Ownership
- Risk passes to the Customer upon completion
- Ownership remains with A1 until full payment is received.
- We reserve the right to remove materials or works in the event of non-payment.
13. Suspension & Termination
We may suspend or terminate works if:
- Payments are overdue
- Site conditions are unsafe or inaccessible
- The Customer breaches these terms
Termination may result in:
- Charges for work completed
- Loss of deposit
14. Cancellation & Cooling-Off Period
- Deposits are non-refundable under all circumstances.
- You may cancel within 14 days (Cooling-Off Period) provided:
- Work has not started
- Materials have not been ordered
If cancelled after this:
- Costs incurred will be payable in full.
15. Limitation of Liability
- A1’s liability is limited to the value of the contract.
- We are not liable for:
- Indirect or consequential losses
- Loss of use, profit, or business
- Nothing excludes liability for death or personal injury caused by negligence.
16. Force Majeure
We are not liable for failure or delay due to events beyond our control, including:
- Weather
- Supplier issues
- Labour shortages
- Acts of God
17. Disputes
- We aim to resolve issues amicably.
- Complaints must be submitted in writing.
- Legal proceedings fall under the jurisdiction of the courts of England & Wales.
18. Acceptance
- By paying a deposit or allowing works to commence, you confirm that:
- You have read
- Understood
- Accepted
these Terms & Conditions in full.
